Subject to your compliance with this License Agreement and our Terms of Service, Truuly, Inc. ("Truuly") grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Truuly AI humanization service ("Service") solely for your internal business or personal purposes in accordance with your selected subscription plan.
This is a license agreement, not an agreement for sale. Truuly retains all right, title, and interest in and to the Service, including all intellectual property rights therein.

Truuly owns and retains all right, title, and interest in and to the Service, including all software, algorithms, models, technology, documentation, and materials provided as part of the Service. This includes all intellectual property rights, whether registered or unregistered, and wherever in the world those rights may exist.
You retain all ownership rights to the text content you submit to the Service ("User Content"). You grant Truuly a limited license to process your User Content solely to provide the Service to you. We do not claim ownership of your User Content.
You own the output content generated by the Service based on your User Content ("Output Content"). Truuly does not claim ownership rights to Output Content and grants you all rights to use, modify, and distribute Output Content as you see fit.
If you provide feedback, suggestions, or ideas about the Service ("Feedback"), you grant Truuly an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without compensation or attribution to you.
Your license to use the Service is contingent upon maintaining an active, paid subscription (unless using a free trial or free tier). If your subscription expires or is terminated, your license to access the Service automatically terminates, though you retain ownership of any Output Content you previously generated.
Access credentials are personal to you and may not be shared with others. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Truuly may update, modify, or discontinue any aspect of the Service at any time without prior notice. Updates may include new features, bug fixes, performance improvements, or removal of features. You agree that Truuly has no obligation to maintain or support any particular version of the Service.
We will make reasonable efforts to notify you of significant changes that materially impact your use of the Service, but we are not obligated to do so.
If your subscription includes API access, you are granted an additional license to integrate the Service into your applications via our API, subject to the following conditions:
The Service may be subject to export control laws and regulations. You agree to comply with all applicable export and re-export restrictions and not to export, re-export, or transfer the Service to prohibited countries or individuals without proper authorization.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TRUULY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
Truuly does not warrant that the Service will be uninterrupted, secure, error-free, or that defects will be corrected. Truuly does not guarantee that Output Content will pass AI detection tools or meet any specific quality standards.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUULY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF TRUULY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TRUULY'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS LICENSE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO TRUULY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so some of the above limitations may not apply to you.
This license is effective until terminated. Your rights under this license will terminate automatically without notice if you fail to comply with any term of this License Agreement or our Terms of Service.
Upon termination, you must immediately cease all use of the Service and destroy any materials obtained from the Service. Termination does not affect your ownership of Output Content generated before termination.
Sections 3 (Ownership), 8 (Warranty Disclaimer), 9 (Limitation of Liability), 11 (Governing Law), and any other provisions that by their nature should survive, will survive termination of this License Agreement.
This License Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding relating to this License Agreement shall be brought exclusively in the courts located in Delaware.
Entire Agreement: This License Agreement, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Truuly regarding the Service and supersedes all prior agreements.
Severability: If any provision of this License Agreement is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Waiver: No waiver of any term of this License Agreement shall be deemed a further or continuing waiver of such term or any other term.
Assignment: You may not assign or transfer this License Agreement without Truuly's prior written consent. Truuly may assign this License Agreement without restriction.
